Scout Gaming publishes Q2 2020: Revenues increased 58% to SEKm 6.3

“The quarter began with very low activity as most sports and leagues globally had breaks related to the ongoing COVID-19 pandemic. However, we quickly managed to complete our esport offering and launch parts of it in mid-April. In mid-May, the German Bundesliga games resumed and from that moment on we experienced a rapid recovery which in June resulted in record activity. We have had an accelerating underlying growth throughout the second half of the quarter and are pleased that we were able to demonstrate this so quickly after the restart of European sports.

Scout Gaming’s operator index for the quarter was 1074, a growth of 56%. The total revenue base grew, despite extremely limited activity during the first half of the quarter, by 58% to SEK 6.3 million. We have previously stated that we did not see any long-term business-related risks with the pandemic for us as a company and are happy to be even more strengthened in that belief.

Activity in July and the first half of August continues to be high and we see very good opportunities for strong future growth.”

Second quarter: April – June 2020

• Revenues increased to SEKm 6.3 (4.0), corresponding to a growth of 58% compared to same quarter last year
• EBITDA improved to SEKm -10.0 (-12.1)
• Net result was SEKm -17.5 (-13.3)
• Earnings per share amounted to SEK -1.0 (-1.0)
• Operator trading index (which illustrates the underlying client activity) increased to 1074 (687), a growth of 56%.
• Scout Gaming launched Esport-related markets for its entire range of products, launched initially on its own operator Fanteam.com and since mid-April available on external partners.
• Scout Gaming signed an agreement with GLHF.gg, a platform that strengthens the bond between professional sports teams and their fans.

Interim period: January-June

• Revenues amounted to SEKm 14.9 (7.6).
• EBITDA amounted to SEKm -21.8 (-26.7)
• Net result amounted to SEKm -27.3 (-29.4)
• Earnings per share amounted to SEK -1.7 (-2.2)

Events after the period ended

• Scout Gaming completed a heavily oversubscribed directed share issue towards international institutional investors amounting to SEKm 75, to enable an accelerated growth and product development.
• For the third consecutive year, Scout Gaming won EGR Award “Fantasy Sports Supplier of the year”.
• Scout Gaming launched 1 million Euro Fantasy Premier League Season Game.
• The company widened and extended the current agreement with Kaizen Gaming (Stoiximan and Betano).
• Scout Gaming signed an agreement with the market leading operator in the CIS region, Parimatch.

Scout Gaming strengthens partnership with Kaizen Gaming

Scout Gaming extends agreement with Kaizen Gaming – being the first operator to launch a Daily Fantasy Sports product in the Greek market, Kaizen Gaming, the recently renamed group behind the brands Stoiximan and Betano, has reaffirmed its long-term successful use of Scout Gaming products.

The parties have entered into a new agreement which will replace the one entered in May 2018. As a direct consequence of the good results enjoyed by Kaizen Gaming from the use of Scout Gaming’s DFS product in the Greek market under its flagship brand Stoiximan.gr, the parties have decided to extend the collaboration, taking a long-term strategic and mutually beneficial view to the partnership, focusing on launch of new products in Greece as well as expand the partnership into other markets. The agreement also includes certain unique rights given to Kaizen Gaming for the use of Scout Gaming’s products under a certain time frame.

The new agreement will enable Kaizen Gaming to launch all additional games currently found in Scout Gaming’s product portfolio, including Player Performance Odds and Player Matchups, as well as expand into additional markets through its international brand, Betano. Further on, the parties will together aim at bringing to life new products by either finding new applications to existing products or creation of innovative new games.

SCOUT GAMING GROUP COMPLETES DIRECTED SHARE ISSUES AND RECEIVES PROCEEDS OF APPROXIMATELY SEK 75 MILLION

The Board of directors of Scout has, based on the authorization granted by the Annual General Meeting on May 25, 2020, resolved on a directed share issue of 1,835,062 shares through a so-called accelerated “book building” procedure (the ”Share Issue”) and on a directed share issue to the existing Santa Monica-based institutional investor Topline Capital Partners Ltd, of 1,200,000 shares (the “Directed Share Issue”).

The Company receives approximately SEK 45 million before transaction costs from the Share Issue and approximately SEK 30 million before transaction costs from the Directed Share Issue, equal to a total amount of approximately SEK 75 million.

The Share Issue was substantially oversubscribed, and the subscription price has been set to SEK 25 per share through the accelerated book building procedure, which corresponds to a 14.6 percent premium compared to the average volume-weighted price of the Company’s share on the Nasdaq First North Growth Market over the past 30 trading days. The subscription price in the Directed Share Issue has been set to the same price as in the Share Issue.

The Share Issue was directed to Swedish and international institutional investors. In order to facilitate the execution of the Share Issue, the new shares have initially been subscribed for by ABG Sundal Collier AB at a price corresponding to the shares’ quota value. The shares will be transferred to the new and existing shareholders in the Company in accordance with agreements entered between ABG Sundal Collier and the actual investors. Subscribers in the in the Share Issue among others were the German institutional investor Lloyds AG, Provobis and Knutsson Holding. In connection with received payment from investors in the Share Issue, which is expected to occur around July 23, 2020, the Company will receive the remaining amount, i.e. the difference between the quota value and the price in the Share Issue.

I’m sure that we trough this placing can capture additional market possibilities to accelerate the growth even more rapidly. The reason for the deviation from the shareholders’ preferential rights is mainly to raise capital in a time- and cost-efficient manner and to widen the institutional owner base. Through the Share Issue and the Directed Share Issue, Scout’s financial position will be further strengthened and enable and accelerate growth as well as a continued product development.

After the registration of the Share Issue and the Directed Share Issue, the total number of shares in the Company will amount to 20,536,654 shares. The Company’s share capital will increase with SEK 159,740.12 to SEK 1,080,876.56. The Share Issue and the Directed Share Issue entails a dilution of approximately 15 percent of the number of shares in Scout after the Share Issue and the Directed Share Issue.

In connection with the Share Issue, the Company has appointed ABG Sundal Collier as Sole Lead Manager and Bookrunner and Advokatfirman Delphi as legal counsel.

Scout Gaming is launching Esports across its network of partners. Initial roll out has begun and will be expanded upon during coming weeks.

Scout Gaming intends to roll out Esports to its full client base in near term, opening up the reach of its products and B2B partners to the fast growing and developing Esports market. Scout Gaming signs deal with Hero Gaming

Scout Gaming has signed a deal with Hero Gaming for delivery of the company’s gaming platform.

The deal allows Hero Gaming Group to provide Scout Gaming’s full product offering to its end customers on all brands within the Group. Scout Gaming’s platform is expected to be fully integrated into Hero Gaming’s product range by the first half of 2020.

“Since its inception, Hero Gaming has been a socially focused operator with strong growth, and their current expansion of sports betting with our products is another step in that direction and is of course very exciting for us.
